Terms of Service

These Terms of Service (the “Agreement”) create a contract between you and Wharton Consulting LLC (“we,” “us,” “our,” or “Wharton Consulting”). Please read the Agreement carefully.

A. Introduction

This Agreement governs your use of VerifyThisSeal.com (the “Site”) and all related services, including professional credential verification, seal code issuance, and account management (collectively, the “Services”), provided by Wharton Consulting. The Services allow Account Holders to verify professional credentials, issue seal codes, and maintain public-facing verification records, including in collaboration with Mandating Authorities (e.g., professional licensing boards) or through publicly available sources. Public Users may access verification records without an account. The Services are available in the United States, your country of residence (“Home Country”). To use the Services, you need compatible hardware, software, and Internet access (fees may apply).; performance may be affected by these factors.

The Services are intended solely for U.S. residents. While non-U.S. residents may access the Services, we strongly discourage them from submitting Personal Information (e.g., names, professional identifiers) and encourage compliance through self-governance. Any submission by non-U.S. residents is at their sole risk, and non-U.S. residents acknowledge that the Services are not designed to comply with non-U.S. laws, such as GDPR, and waive any claims arising from such non-compliance. We may reject or delete such data, as permitted by law.

B. Payments, Taxes, and Refunds

You may acquire Services (e.g., verification processing, seal code issuance) for free or for a charge, referred to as a “Transaction.” Each Transaction is an electronic contract between you and Wharton Consulting. We use third-party payment processors, which maintain SOC 2 or ISO 27001 certification where applicable, to handle Transactions. When you make a Transaction, you provide payment information (e.g., credit card details) directly to these processors. We do not store full payment card details but may retain transaction confirmations or partial information for lawful adminstrative purposes. Third-party payment processors are responsible for their errors or breaches, and you must address disputes directly with them, except where Wharton Consulting is the merchant of record.

We will charge your selected payment method for any paid Transactions, including applicable taxes. You can associate multiple payment methods with your account, and you agree that we may store and charge these methods for Transactions. Your primary payment method is listed first in your payment account settings. If your primary payment method cannot be charged (e.g., due to expiration or insufficient funds), you authorize us to attempt to charge other eligible payment methods in the order listed. If we cannot charge you, you remain responsible for any uncollected amounts, and we may attempt to charge you again or request another payment method. We do not report to third party credit agencies. All Transactions are final. Service fees may change at any time. If technical problems prevent or unreasonably delay delivery of Services, your sole remedy is either reperformance of the Service or a refund of the price paid, as determined by Wharton Consulting. We may suspend or cancel payment or refuse a refund request if we find evidence of fraud, abuse, or unlawful or harmful activities, as described in Section E. We may offer refunds, fee waivers, or credits at our sole discression.

C. Account

Using the Services and accessing verification records may require a VerifyThisSeal Account. Your account is valuable, and you are responsible for maintaining its confidentiality and security. Wharton Consulting is not responsible for losses arising from unauthorized use of your account. Contact us at support@verifythisseal.com immediately if you suspect your account has been compromised. Wharton Consulting is not responsible for damages incured by your delay to report immediately.

You must be at least 18 years of age to create a VerifyThisSeal Account and use the Services. If you create an account on behalf of an organization (e.g., a business or Mandating Authority), you represent that you have the authority to bind that organization to this Agreement. You are responsible for providing accurate, complete, and up-to-date account information, including professional credentials and contact details, and for ensuring you are a U.S. resident when submitting Personal Information.

D. Privacy

Your use of the Services is subject to our Privacy Policy, available at verifythisseal.com/privacy-policy. The Privacy Policy governs the collection, use, processing, and disclosure of your Personal Information, including our practices for monitoring and analyzing data to detect, prevent, identify, report, and investigate unlawful or harmful activities (e.g., fraud, security threats), ensure service functionality, and improve the Services. We may collect and analyze technical data (e.g., IP addresses, device information, usage patterns, etc) in a form that does not personally identify you, unless required for verification or legal compliance. Verification data (e.g., seal codes, professional status) is retained for the lifetime of the Service to maintain a permanent public record, as outlined in the Privacy Policy.

We may disclose data to law enforcement authorities, regulatory bodies, or other third parties as reasonably necessary to enforce this Agreement, comply with legal processes (e.g., subpoenas, court orders), or address claims of unlawful use or infringement. Such disclosures will comply with applicable laws and our Privacy Policy.

E. Services Usage Rules

Your use of the Services must follow the rules set forth in this section (“Usage Rules”). Any other use is a material breach of this Agreement. We may monitor and analyze your use to ensure compliance, as described in our Privacy Policy.

Usage Rules:

  • You may use the Services only for their intended purpose (e.g., professional verification, accessing public records) and only for personal, noncommercial purposes unless expressly authorized by Wharton Consulting.
  • Delivery of Services does not transfer any commercial or promotional use rights to you or waive any rights of Wharton Consulting or its licensors.
  • You may not manipulate verification results, seal codes, or account data via any means, including bots, scripts, or automated processes, except as authorized by us in writing.
  • You may not use any software, device, or process to scrape, copy, or monitor any portion of the Services.
  • You may not tamper with or circumvent any security technology included with the Services.
  • You may access the Services only using Wharton Consulting’s software and may not modify or use modified versions of such software.
  • You may not submit sensitive health data covered by HIPAA or other sensitive information not required for verification. Any such submission is at your sole risk, and we will delete it upon discovery.
  • You must ensure you are a U.S. resident when submitting Personal Information, as non-U.S. residents are strongly discouraged from doing so.
  • You may not use the Services in connection with matters related to state or national security or objectives, including but not limited to activities involving classified information, defense operations, or government intelligence.
  • You may not use the Services in any manner that disrupts, harms, or undermines their integrity or purpose, whether or not specifically prohibited above.

 

To protect the Services from automated attacks (e.g., bots, DDoS attacks), we reserve the right to deploy countermeasures, including malicious or investigatory actions (e.g., IP blocking, rate limiting, or simulated responses) that may intentionally harm attacking services, and proactive security measures (e.g., penetration testing, threat detection), as necessary to safeguard system integrity and security. Such measures will be proportionate and comply with applicable laws, including the Computer Fraud and Abuse Act.

F. Termination and Suspension of Services

If you fail, or we suspect you have failed, to comply with any provision of this Agreement, we may, without notice:

  • Terminate this Agreement and/or your VerifyThisSeal Account, and you will remain liable for all amounts due up to and including the date of termination.
  • Preclude your access to the Services.

 

We reserve the right to modify, suspend, or discontinue the Services (or any part thereof) at any time with or without notice, and we will not be liable to you or any third party for exercising such rights. Verification data (e.g., seal codes, professional status) may remain in our public records for the lifetime of the Service, as outlined in our Privacy Policy.

G. Third-Party Services and Equipment

You may not be able to use all features of the Services when accessing them on non-supported devices. Certain Services may require third-party equipment, software, and standard compliance. Such use is subject to the terms and conditions of that equipment and must comply with the manufacturer’s instructions. By using the Services, you agree that we may automatically download and install security updates to our software on third-party equipment, where applicable.

H. Your Submissions to Our Services

The Services may allow you to submit materials, such as professional credentials, verification data, or feedback. Your submissions must comply with the following Submissions Guidelines, which may be updated periodically. We may remove materials that violate these guidelines. If you see non-compliant materials, including offensive, abusive, or illegal content, contact us at support@verifythisseal.com.

Submissions Guidelines:

  • You may not submit materials that you do not have permission, right, or license to use or that infringe on third-party rights.
  • You may not submit objectionable, offensive, unlawful, deceptive, inaccurate, or harmful content, including fraudulent credentials and HIPAA-covered data.
  • You may not submit personal, private, or confidential information belonging to others.
  • You may not impersonate or misrepresent your affiliation with another person or entity.
  • You may not submit spam, including unsolicited advertising or promotional materials.
  • You may not plan or engage in any illegal, fraudulent, or manipulative activity.

 

You grant Wharton Consulting a worldwide, royalty-free, perpetual, nonexclusive license to use, store, and display your submitted materials (e.g., credentials, seal codes) within the Services and related public records, and for internal purposes (e.g., analytics, improvement). We may monitor, edit, or remove submitted materials, including via automated filters or human review.

I. Miscellaneous Terms Applicable to All Services

I.1 Definition of Wharton Consulting

Wharton Consulting” means Wharton Consulting LLC, with its address on file with the Ohio Secretary of State, for all users.

I.2 Contract Changes

We reserve the right to modify this Agreement and add new terms or conditions at any time. Such changes will be effective immediately upon posting on the Site. Your continued use of the Services will be deemed acceptance of the revised terms.

I.3 Third-Party Materials

We are not responsible or liable for errors in third-party materials (e.g., data from Mandating Authorities or public registries) included within or linked from the Services.

I.4 User Safety

The Services are for professional verification purposes only and are not intended to provide medical or legal advice. Consult an appropriately qualified professional for such advice.

I.5 Intellectual Property

The Services, including content, graphics, user interface, and software, contain proprietary information owned by Wharton Consulting or its licensors, protected by United States and international copyright, trademark, patent, and other laws. You may not use such materials except as permitted by this Agreement. No portion of the Services may be reproduced, modified, reverse engineered, or distributed without our express consent. The VerifyThisSeal.com name, logo, and related marks are trademarks of Wharton Consulting. You are granted no right or license with respect to these trademarks.

Unless otherwise noted, the Services and content provided by Wharton Consulting are copyrights of Wharton Consulting LLC. If you believe any content infringes your copyright, contact us at:

We may disable or terminate accounts of users found to repeatedly infringe copyrights, as determined in our sole discretion.

I.7 Disclaimer of Warranties; Liability Limitation

WHARTON CONSULTING DOES NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. WE MAY REMOVE, CANCEL, OR LIMIT ACCESS TO THE SERVICES AT ANY TIME WITHOUT NOTICE. THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU.

YOU AGREE THAT UNLESS REQUIRED BY LAW, WE HAVE NO RESPONSIBILITY TO CONTINUE MAKING VERIFICATION RECORDS OR SERVICES AVAILABLE, AND WE WILL NOT BE LIABLE IF SUCH RECORDS OR SERVICES BECOME UNAVAILABLE.

IN NO CASE SHALL WHARTON CONSULTING, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICES, INCLUDING ERRORS, OMISSIONS, OR ANY LOSS OR DAMAGE, EVEN IF ADVISED OF THE POSSIBILITY. IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OF CERTAIN DAMAGES, OUR LIABILITY IS LIMITED TO THE EXTENT PERMITTED BY LAW, AND IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED TWO MILLION DOLLARS ($1,000,000.00).

WE USE REASONABLE EFFORTS TO PROTECT YOUR SUBMITTED INFORMATION, BUT YOU SUBMIT IT AT YOUR SOLE RISK, AND YOU RELEASE US FROM LIABILITY FOR ANY LOSS RELATED TO SUCH INFORMATION. WE DO NOT GUARANTEE THE SERVICES WILL BE FREE FROM LOSS, CORRUPTION, ATTACK, VIRUSES, OR OTHER SECURITY INTRUSIONS, AND YOU RELEASE US FROM LIABILITY RELATING THERETO. YOU ARE RESPONSIBLE FOR BACKING UP YOUR OWN SYSTEM, EXCLUDING VERIFICATION DATA OR SEAL CODES, WHICH WE MAINTAIN.

I.8 Waiver and Indemnity

By using the Services, you agree, to the extent permitted by law, to indemnify and hold Wharton Consulting, its directors, officers, employees, affiliates, agents, contractors, and licensors harmless from any claims arising out of your breach of this Agreement, your use of the Services, or any action taken by us to investigate or address a suspected violation. You agree not to sue or recover damages from us for actions taken to remove content, suspend or terminate access, or enforce this Agreement. This provision applies to all violations described in or contemplated by this Agreement.

I.9 Statutory Exceptions for Public Institutions

If you are a qualified public educational or government institution and any part of this Agreement (e.g., indemnification) is invalid or unenforceable due to applicable law, that portion shall be deemed invalid and construed in a manner consistent with applicable law.

I.10 Governing Law

Except as provided below or required by law, this Agreement and all Transactions shall be governed by the laws of the State of Ohio, excluding its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in Franklin County, Ohio, to resolve any dispute arising from this Agreement. If you are a citizen of any European Union country, the United Kingdom, Switzerland, Norway, or Iceland, the governing law and forum shall be the laws and courts of your usual place of residence. The United Nations Convention on the International Sale of Goods is specifically excluded.

I.11 Other Provisions

This Agreement constitutes the entire agreement between you and Wharton Consulting, superseding any prior agreements. You may be subject to additional terms for third-party services or Mandating Authority requirements. If any part of this Agreement is invalid, it shall be construed to reflect the original intent, and the remaining portions shall remain in effect. Our failure to enforce any provision does not constitute a waiver.

Force Majeure: Wharton Consulting is not liable for delays or failures to perform due to events beyond our reasonable control, including natural disasters, wars, pandemics, or cyberattacks.

Dispute Resolution: Before pursuing legal action, you agree to attempt informal resolution by contacting us at support@verifythisseal.com for 30 days. If unresolved, disputes may be pursued in the courts specified in Section I.10.

Export Control: You may not use the Services in violation of U.S. export control laws, in U.S.-embargoed countries, by individuals on the U.S. Treasury Department’s Specially Designated Nationals List or the U.S. Department of Commerce Denied Persons List or Entity List, or in any manner contrary to state or national interests, including but not limited to content that undermines public safety or social cohesion.

We may notify you via email, postal mail, or a posting on the Site. Notices are effective immediately. You grant us the right to take steps we believe are necessary to enforce or verify compliance with this Agreement, including disclosing data to law enforcement authorities, regulatory bodies, or third parties as reasonably necessary (e.g., for legal processes or claims of unlawful use).
