Welcome to the Extended Terms of Service, also known as the End User Agreement, for the website "VerifyThisSeal.com" (the "Site"), wholly owned and operated by Wharton Consulting LLC ("we," "us," "our," or "Wharton Consulting"). These Terms of Use govern your access to and use of the Site during its development phase, prior to its official public release. A banner stating "SITE UNDER DEVELOPMENT" is prominently displayed at the top of every page to ensure all users are aware of the Site’s current status. These terms are subject to change without notice and will be replaced by a comprehensive version upon the launch of the production version of the Site. The Site is not ready for public use and should be regarded as such. ## 1. Site Status: Under Development ### 1.1 Development Phase Purpose VerifyThisSeal.com is currently under active development. The purpose of this phase is to test, evaluate, and refine the Site’s features, functionality, security, and performance. The Site is not fully operational and is not intended for public or commercial use. ### 1.2 Subject to Change All aspects of the Site, including but not limited to its design, features, content, data handling practices, and availability, may change at any time without prior notice as we work to improve and stabilize the platform. ### 1.3 Not for Public Use The Site is not ready for public use. Access is restricted to authorized individuals, such as developers, testers, and personnel associated with Wharton Consulting LLC, for testing and feedback purposes only. By accessing the Site, you acknowledge its pre-release status and agree to use it solely for the purposes outlined in these terms. ## 2. Acceptance of Terms ### 2.1 Agreement to Terms By accessing or using the Site, you agree to be bound by these Extended Terms of Use, as well as any additional guidelines, rules, or instructions provided by Wharton Consulting LLC. If you do not agree to these terms, you must immediately cease all access to and use of the Site. ### 2.2 Eligibility You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into and abide by these terms. If you are accessing the Site on behalf of an organization, you represent that you have the authority to bind that organization to these terms. ### 2.3 Modification of Terms We reserve the right to modify these Terms of Use at any time without prior notice. Your continued use of the Site following any changes constitutes your acceptance of the revised terms. ## 3. Limited Access and Use ### 3.1 Restricted Access Access to the Site during this development phase is limited to authorized users, including but not limited to developers, testers, and designated personnel, for the sole purpose of testing, evaluating, and providing feedback on the Site’s functionality and performance. ### 3.2 Permitted Use You may use the Site only for testing and evaluation purposes as directed by Wharton Consulting LLC. Any other use, including but not limited to personal, commercial, or unauthorized purposes, is strictly prohibited. ### 3.3 Prohibited Actions You agree not to: - Use the Site for any purpose other than testing and evaluation. - Copy, reproduce, distribute, modify, or create derivative works from any content, code, or materials on the Site. - Attempt to gain unauthorized access to any portion of the Site, its servers, or related systems. - Introduce malicious code, viruses, worms, or any other harmful or disruptive content to the Site. - Interfere with, disrupt, or overburden the Site, its servers, or networks. - Reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying structure of the Site. - Share access credentials or permit unauthorized third parties to access the Site. - Use the Site in any manner that violates applicable local, state, federal, or international laws or regulations. ### 3.4 User Conduct You agree to use the Site in a manner that is lawful, respectful, and consistent with the intended purpose of the development phase. Any misuse or abuse of the Site may result in immediate termination of your access. ## 4. No Warranties ### 4.1 As-Is Basis The Site is provided on an "as is" and "as available" basis during this development phase, with no guarantees of functionality, reliability, or availability. Wharton Consulting LLC makes no representations or warranties of any kind, express or implied, including but not limited to: - The accuracy, completeness, or reliability of any content, features, or information on the Site. - The Site’s availability, performance, or freedom from errors, bugs, or interruptions. - The security of the Site or any data transmitted to or from the Site. ### 4.2 No Implied Warranties To the fullest extent permitted by applicable law, Wharton Consulting LLC disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. ### 4.3 Testing Risks You acknowledge that, as a pre-release platform, the Site may contain bugs, errors, or other defects that could result in data loss, system instability, or other issues. You assume all risks associated with using the Site during this development phase. ## 5. Limitation of Liability ### 5.1 Use at Your Own Risk By accessing or using the Site, you agree that you do so at your own risk. Wharton Consulting LLC, its affiliates, and their respective officers, directors, employees, agents, and contractors will not be liable for any damages of any kind arising from your use of the Site, including but not limited to: - Direct, indirect, incidental, special, consequential, or punitive damages. - Loss of data, profits, revenue, business opportunities, or goodwill. - Damages resulting from technical issues, interruptions, unavailability, or security breaches. ### 5.2 No Liability for Development Phase Wharton Consulting LLC will not be liable for any issues, losses, or damages arising from the pre-release nature of the Site, including but not limited to system failures, data corruption, or incomplete functionality. ### 5.3 Indemnification You agree to indemnify, defend, and hold harmless Wharton Consulting LLC, its affiliates, and their respective officers, directors, employees, agents, and contractors from and against any claims, liabilities, damages, losses, or expenses, including reasonable attorneys’ fees and costs, arising out of or in any way connected with: - Your access to or use of the Site. - Your violation of these Terms of Use. - Your violation of any applicable laws or regulations. - Any content or data you submit to or transmit through the Site. ## 6. Intellectual Property ### 6.1 Ownership All content, features, functionality, code, designs, graphics, logos, text, and other materials on the Site are the exclusive property of Wharton Consulting LLC or its licensors and are protected by United States and international copyright, trademark, patent, and other intellectual property laws. ### 6.2 Limited License During the development phase, you are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site solely for testing and evaluation purposes as directed by Wharton Consulting LLC. No other rights or licenses are granted, express or implied. ### 6.3 Restrictions You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any portion of the Site or its content without prior written consent from Wharton Consulting LLC. ### 6.4 Feedback Any feedback, suggestions, or comments you provide regarding the Site during this development phase may be used by Wharton Consulting LLC without restriction or compensation to you. You grant us a perpetual, irrevocable, royalty-free, worldwide license to use, modify, and incorporate such feedback into the Site or other products or services. ## 7. Data and Privacy ### 7.1 No Expectation of Privacy During this development phase, you should have no expectation of privacy regarding any data you submit to or that is collected by the Site. This includes, but is not limited to, personal information, usage data, IP addresses, browser types, and interaction patterns. ### 7.2 Data Use Wharton Consulting LLC and its developers may access, monitor, use, and disclose any data transmitted through or stored on the Site for purposes related to testing, debugging, and improving the Site’s functionality, performance, and user experience. ### 7.3 No Guarantee of Security We make no guarantees regarding the security of data transmitted to or from the Site during this development phase. You acknowledge the risk that data may be intercepted, lost, or corrupted. ## 8. Termination of Access ### 8.1 Right to Terminate Wharton Consulting LLC reserves the right to suspend or terminate your access to the Site at any time, for any reason, without notice or liability. Reasons for termination may include, but are not limited to, violation of these Terms of Use, suspected misuse, or any activity that may harm the Site, its users, or its development process. ### 8.2 Effect of Termination Upon termination, your right to access and use the Site will immediately cease. Wharton Consulting LLC is not liable for any consequences resulting from the termination of your access. ## 9. Future Revisions to These Terms ### 9.1 Preliminary Nature These Terms of Use are preliminary and apply only during the development phase of VerifyThisSeal.com. They will be replaced by a comprehensive Terms of Use agreement upon the launch of the production version of the Site. ### 9.2 Right to Modify We reserve the right to modify these Terms of Use at any time without prior notice. Any changes will be effective immediately upon posting to the Site. Your continued use of the Site following any changes constitutes your acceptance of the revised terms. ### 9.3 Check for Updates We encourage you to periodically review these terms for updates. A comprehensive version will be provided upon the Site’s official release, addressing additional aspects of use, rights, and obligations in compliance with applicable laws. ## 10. Governing Law and Dispute Resolution ### 10.1 Governing Law These Terms of Use shall be governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to its conflict of law principles. ### 10.2 Jurisdiction Any disputes arising under or related to these Terms of Use or your use of the Site shall be subject to the exclusive jurisdiction of the state and federal courts located in Franklin County, Ohio. You agree to submit to the personal jurisdiction of these courts for the purpose of resolving any such disputes. ### 10.3 Dispute Resolution In the event of a dispute, you agree to first attempt to resolve the issue informally by contacting us at the address below. If the dispute cannot be resolved informally within 30 days, either party may pursue resolution through the courts as described above. ## 11. Miscellaneous ### 11.1 Severability If any provision of these Terms of Use is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. ### 11.2 No Waiver Our failure to enforce any right or provision of these Terms of Use will not constitute a waiver of such right or provision. ### 11.3 Entire Agreement These Terms of Use constitute the entire agreement between you and Wharton Consulting LLC regarding your use of the Site during this development phase, superseding any prior agreements or understandings. ### 11.4 Assignment You may not assign or transfer any rights or obligations under these Terms of Use without our prior written consent. Wharton Consulting LLC may assign its rights and obligations under these terms at its sole discretion. ## 12.
